Responsabilidades

POSITION SUMMARY

 

The position of Jr. Counsel, Latin America North (Jr. Counsel) is based in Costa Rica and will provide legal and compliance support for Bridgestone America’s operations in Costa Rica, reporting to the Legal Manager in Costa Rica. 

 

Areas of legal responsibility will be varied and include internal administrative procedures, contracts, corporate governance, commercial law, labor law, basic litigation, compliance, anti-corruption and data privacy.

 

The successful candidate will be required and expected to always act with integrity, be comfortable engaging in difficult conversations with the business team and able to identify and address legal issues as they arise in a professional and timely manner.

 

We are looking for a team player with a desire to learn and grow both personally and professionally within the organization. Open to feedback, daily training in the operation of the companies and the Bridgestone culture.

Responsibilities:

  • Drafting of minutes, preparation of shareholders' meetings, communications to shareholders.
  • Drafting of powers of attorney, affidavits, certifications, proxies, and basic legal documents in general.
  • Assistance in Corporate Governance in general
  • Review, analysis, and preparation of agreements of different nature.
  • Collection of signatures on specific legal documents
  • Follow-up of legal notices
  • Follow-up on the status of litigation and claims with outside counsel.
  • Drafting and updating of corporate reports
  • Responsible for the support to the shareholders of the companies.
  • Management of corporate documents and records
  • Manage payment flow from legal suppliers.
  • Assisting in the company's compliance program, including preparation of trainings and best practices
  • Preparation of presentations, corporate presentations
  • Assistance in the management and control of the Company's external lawyers, Notaries and legal providers in general.
  • Assistance in basic legal consultations of the different areas of the companies

 

Competencies:

  • Technical Legal Skills: Demonstrated ability to advise on a breadth of legal and business matters; a results-oriented attorney licensed to practice in Costa Rica; a lawyer who has demonstrated intellect, vision, and judgment; commitment to operational excellence; overall broad legal knowledge of a variety of legal specialties (corporate law, compliance, litigation, labor law, intellectual property, etc.); confident and experienced in leading difficult conversations as necessary.
  • Client Oriented Approach: It is critical that the successful candidate values the “hows” of providing legal and compliance support to the business. Must be client orientated in approach and demonstrate a strong desire to understand the business objectives and challenges.
  • Business Acumen: Demonstrated skill in providing legal services to support a fast moving business with a well-defined culture; a lawyer who uses knowledge of the law and business to evaluate legal issues and provide advise.

Requisitos

Desired Skills and Experience

Required:

  • Admitted to practice law in Costa Rica.
  • Minimum of 1-3 years corporate law (company or law firm with an emphasis on corporate, partnership, contract law or compliance)
  • Fluency in Spanish and English is required.
  • Public Notary desirable but not mandatory for the position.
